Petrobras reveals non-compliance with contractual obligations at the Carmópolis Complex – Notice of Contract Breach

© 2023 – Relevant fact: Closing of the transaction for a set of 11 onshore field concessions with guarantor. Adjustments and amounts due in accordance with contractual measures.

Petrobras, in continuation of the material fact disclosed on 20/12/2022, informs the failure to comply with the contractual payment obligation of Carmo Energy and its controlling company Cobra Instalaciones y Servicios, S.A., in the capacity of guarantor, related to the sale of all of its shares in the set of 11 concessions of onshore oil and gas production fields, with integrated facilities, located in the state of Sergipe, jointly called by Polo Carmópolis.

In the case of non-payment, Petrobras reported that the sale value was US$1,1 billion, of which: (i) US$275 million was paid as a down payment; (ii) US$548 million was paid on 20/12/2022, the closing date of the transaction considering the adjustments due; and (iii) US$296 million should have been paid on 20/12/2023, already considering the adjustments due.

Petrobras' actions in the face of non-compliance with contractual obligations

Due to non-compliance with contractual obligations by the guarantor, Petrobras will take the appropriate contractual and legal measures to ensure payment of the amounts due, relating to the closing of the transaction involving a set of 11 concessions land fields.

It is important to highlight that non-compliance with contractual obligations, also known as contractual default, requires due attention from the company, which is committed to the timely disclosure of facts deemed relevant, ensuring total transparency and clarity for its shareholders and other interested parties.
