Novonor (formerly Odebrecht) and Petrobras close pending issues by signing a Pending Termination Term (TEP)

The Pending Closing Term (TEP) aims to complete four contractual issues between Petrobras and former Odebrecht, current Novonor

On March 31, Petrobras' board of directors approved the signing of the Pending Termination Term (TEP) with Novonor, which is the former Odebrecht. This term has the objective of definitively finalizing four contractual disputes, upon payment of amounts by Novonor to the state-owned company. Among them, three were being discussed in arbitration proceedings.

According to the virtual news vehicle Broadcast, Petrobras – which is in oil field negotiation process – said that, as of the signature of the TEP, it plans to regulate the effects for the two companies resulting from the Leniency Agreement, signed in 2018 by companies participating in the Novonor Group with the Comptroller General of the Union and the Advocacy General of the Union.

In this sense, Petrobras states: “Petrobras will proceed with administrative impropriety actions against companies of the Novonor/Odebrecht Group, seeking full compensation for the losses identified due to the illegal acts revealed by Operation Lava Jato, but, in prestige to the Agreements of Leniency, while they are in effect, will not seek sanctions or precautionary measures against these companies”.

In addition, the Pending Closing Term (TEP) also estimates that the signature does not exempt the companies that are part of the Novonor Group from subjugating themselves to the process of analyzing the requirements to act in the supplier register or participate in Petrobras' competitive admission procedures, including integrity.

On the other hand, the state-owned company advised that its affiliate Petrobras Netherlands BV (PNBV) also sign the TEP with the Enseada Indústria Naval shipyard, also belonging to the Novonor Group, to settle the dispute between the companies.

Petrobras is going through a process of bilateral negotiations with PetroRio, in order to sell the Albacora and Albacora Leste oil fields since November last year.
