CADE intends to find out details about the merger of companies that intend, together, to expand the production of offshore renewable energy
CADE (Administrative Council for Economic Defense) will assess the joint work being carried out jointly by Keppel Offshore & Marine and Sembcorp Marine. The companies plan to create a combined company focused on renewable energy offshore, new energies and clean solutions in the offshore and maritime sector.
Under the terms of the transaction, Temasek, the majority shareholder of Sembcorp, will become the largest shareholder in the renewable energy company that will be generated by the combination of the aforementioned companies, with a stake of approximately 33,5%. According to documentation delivered by lawyers representing the companies, the work aimed at producing offshore renewable energy will only result in a limited horizontal overlap in the market for building renewable energy vessels and related services.
“This overlap does not raise any competition concerns, as the combined market share of the Plaintiffs is less than 20%, the Plaintiffs face strong competition in the market, including from foreign renewable energy companies, which are already part of the same group for the purposes of the Brazilian rules for the defense of competition, in view of the current participation of Temasek, which also invests in renewable energy, since it is the largest shareholder of Sembcrop, in both Plaintiffs and this will not change as a result of the Transaction", of according to the documentation.
