Enauta Signs Contract With Petrobras to Acquire Oil Fields in the Santos Basin, Pipeline Infrastructure, and FPSO Operations.
Enauta, a Brazilian oil and gas company, has reached an agreement with fellow company Petrobras for the acquisition of oil and gas fields in the Santos Basin, offshore Brazil, and pipeline infrastructure for natural gas. The company also plans to acquire the FPSO that operates in the fields.
The transaction involves the purchase of 100% of the offshore oil and gas fields Uruguá and Tambaú, in addition to a 178-kilometer pipeline connecting the production platform to the natural gas infrastructure of the Mexilhão field.
Acquisition of Pipeline Infrastructure
The transaction amounts to US$ 10 million, US$ 3 million at signing and US$ 7 million at closing, and up to US$ 25 million, depending on events related to the development of the fields and future oil prices.

Contract for Acquisition of the Platform
The production from the fields is processed through the FPSO Cidade de Santos platform, which has a capacity of 25,000 barrels of oil and 10 million cubic meters of natural gas per day. In a separate statement, Enauta announced that it has signed a contract for the acquisition of the FPSO Cidade de Santos platform, which Modec operates in the fields of Uruguá and Tambaú. The transaction amounts to US$ 48.5 million, with US$ 7.275 million paid at signing and the remaining balance paid at closing.
Charter Regime of the FPSO Platform
The FPSO, owned by Modec’s MV20 subsidiary, has been leased under a charter regime to Petrobras for 13 years since 2010.
Precedent Conditions for Closing the Transaction
The closing of the transaction is subject to precedent conditions, including approval from the National Agency of Petroleum, Natural Gas and Biofuels (ANP), the Administrative Council for Economic Defense (CADE), and the Brazilian Institute of Environment and Renewable Natural Resources, among others.
Disclosure of Acquisition Opportunities
For the record, Petrobras in September 2021 initiated the disclosure stage of opportunities (teaser) for the sale of its entire stake in the Uruguá and Tambaú fields, which belong to the BS-500 concession in the state of Rio de Janeiro.
Acquisition of Oil and Gas Fields
Uruguá and Tambaú, located approximately 80 kilometers west of Enauta’s FPSO Atlanta and 65 kilometers from the Oliva field, currently have a concession term until 2032. The fields produced an average of 5,400 barrels of oil and 353,000 cubic meters of natural gas in 2023, with peak production of 15,000 barrels of oil in 2015 and 2.65 million cubic meters of natural gas in 2016. Over the past five years, the average production was approximately 7,400 barrels of oil equivalent per day.
Transport of the FPSO and Land-Based Processing Unit
The natural gas pipeline has a transportation capacity of 10 million cubic meters connecting the FPSO Cidade de Santos to the Mexilhão field branch that connects to a land-based natural gas processing unit on the coast of São Paulo state.
