At a ceremony held at B3, the Brazilian Stock Exchange, last Friday (03/31), Energisa won the capixaba distributor ES Gás for a value of R$ 1.42 billion. The State Government delivered 51% of the company’s stake, while Vibra Energia provided the other 49% in the privatization auction. Now, the winning company of the bid will invest in the Brazilian natural gas market.
Privatization Auction of the Capixaba Distributor ES Gás Successfully Held Last Week, with Energisa Winning the Bid
Energisa, a Brazilian energy company, won the auction for the sale of all shares of the Espírito Santo Gas Company (ES Gás) for R$ 1.42 billion.
The auction for the privatization of the company took place on March 31 at the São Paulo Stock Exchange (B3). Furthermore, the bid presented by Energisa represented a premium of 7.28%, as the minimum bid was R$ 1.3 billion.

Regarding the division of the company’s stake granted in the auction, the government of Espírito Santo sold its 51% share of the voting capital of ES Gás, while Vibra Energia (formerly BR Distribuidora) negotiated the remaining 49%.
Currently, the capixaba distributor is responsible for the distribution of piped natural gas in the state of Espírito Santo, with its regulation being overseen by the Public Services Regulatory Agency of Espírito Santo (ARSP).
The company operates in various segments, such as residential, commercial, industrial, automotive, air conditioning, co-generation, and thermoelectric, serving over 75,000 consumer units.
The governor of Espírito Santo, Renato Casagrande, stated that the amount raised from the sale of ES Gás demonstrates the company’s capacity during the period it was managed by Vibra. He also emphasized that the state will maintain a stable and balanced regulatory agency with ongoing dialogue so that Energisa can develop its activities in the state.
Sale of ES Gás Marks a Major Result for the State and the Natural Gas Market in the Region
With the acquisition of ES Gás, Energisa expands its presence in the energy sector in Brazil. The company already operates the distribution of electricity in 11 Brazilian states, and is one of the largest companies in the Brazilian electric sector.
According to Heber Resende, president of ES Gás, the result of the auction was positive for the state, for the capixaba society, for the company, and its shareholders.
He highlighted that the sale to private partners will equip the concessionaire with the necessary competencies to operate with agility and competitiveness in the new, more open and competitive regulatory environment for natural gas.
With the completion of the sale, ES Gás is now in the hands of private partners, inaugurating a new chapter in its history.
Now, Energisa is entering a new phase of operation in the Brazilian natural gas market after winning the purchase of the distributor ES Gás in the privatization auction.
