The Partnership Between Americanas Stores and BR Distributor Will Provide 50% Participation to Both Convenience Stores, Plus Own Corporate Governance

Americanas Stores and BR Distributor announced last week that they will form a partnership to create a network of BR Mania and Local convenience stores, starting a new company between the two companies.

The partnership will provide 50% participation to both, in addition to their own corporate governance, which will feature a solid professional structure to assist in profit sharing. The capital for the future convenience store network will also be provided by both companies.

The Company and the Operation

Initially, a business value of about R$ 995 million was considered for the consolidation of the company, which would be sufficient for the creation of the BR Mania Franchise Network and Local stores. These will be franchised stores, as well as a network of stores with their own point of sale operations.

BR Distributor currently has about 1,200 BR Mania stores operated by franchisees; meanwhile, Americanas Stores has 55 of its own Local stores.

With the partnership, it will be possible to offer a differentiated value proposition and operating model for consumers, franchisees, resellers, and store attendants.

Benefits of the Partnership

The new format of convenience stores developed by Americanas Stores and BR Distributor will have the potential to capture opportunities at over 8,000 BR network outlets.

In addition, the partnership could venture further into the convenience market, aiming to offer varied options and the best experience for consumers.

The formalization of the partnership between the two companies and the closure of the operating model will depend on the fulfillment of the usual conditions defined for transactions of this type, including obtaining authorization from the Administrative Council for Economic Defense (CADE).
