Petrobras Considers Investing in Raízen Around the Ethanol Sector. State-Owned Company Analyzes Entry Formats in the Joint Venture of Cosan and Shell, While Raízen Faces Billion-Dollar Debt and Seeks to Rebalance Its Portfolio

The information that Petrobras is considering investing in Raízen stirred the energy and biofuels sector in Brazil. The state-owned company, according to sources linked to the negotiations, is evaluating different possibilities: ranging from becoming a direct partner in the joint venture formed by Cosan and Shell, to acquiring specific assets related to ethanol production. The initiative would mark the company’s return to the sector, a priority already mentioned by Petrobras’ president, Magda Chambriard.

The interest comes at a delicate time for Raízen. The company has amassed debt of R$ 17.5 billion and reported a loss of R$ 946 million in the last quarter. Despite the financial difficulties, the company is seen as strategic for being one of the largest global producers of ethanol from sugarcane and the only one in the world to commercially operate second-generation ethanol, produced from biomass reuse.

Why Petrobras Targets Raízen

In considering different entry formats, the state-owned company seeks to expand its presence in the biofuels sector without violating the non-compete clause with Vibra (formerly BR Distribuidora), which remains valid until 2029. One alternative would be to separate assets related to ethanol production from the distribution part, which operates under the Shell brand with over 8,000 gas stations in Brazil, Argentina, and Paraguay.

According to industry analysts, Petrobras’ entry into Raízen would be a first step in regaining relevance in the fuel distribution chain. The move also aligns with the company’s repositioning in clean energy businesses, including gas and renewable alternatives.

Financial Situation and Search for Partners

Cosan, the controlling company of Raízen alongside Shell, prioritizes reducing debts and balancing its business portfolio. The company’s president, Marcelo Martins, stated that the partial sale of assets and the entry of a strategic partner are options under consideration. “Bringing in a partner that aligns with our strategy is essential,” he said at a conference with investors.

In this process, Raízen has already made adjustments: it closed the operation of the Santa Elisa plant in São Paulo, sold contracts to São Martinho, and divested 55 distributed generation plants to Thopen Energia and Gera Holding. Other negotiations include the possible sale of plants in Mato Grosso do Sul and São Paulo.

Impacts on the Ethanol Market

If confirmed, the news that Petrobras is considering investing in Raízen could significantly alter the balance of the sector. The state-owned company would return to operate in a strategic market for Brazil, where ethanol plays a central role in the energy matrix and in the debate about decarbonization.

For experts, this move reinforces the trend of concentration among major players in the sector, which could bring more investments in technology, but also greater competitive pressure on small ethanol producers and independent distributors.

The final decision on Petrobras’ entry should occur by the end of 2025. If it proceeds, it will represent not only the company’s return to the biofuels market but also a reinforcement of its strategy for diversification and expansion in clean energy.

O brasileiro se tornou refém dos usineiros e políticos. Nos nossos veículos “movidos a gasolina”, somos obrigados a usar uma mistura com 30% de álcool extremamente corrosivo, danificando todos os componentes em contato com este líquido. Além de todas as vantagens oferecidas a já chamada de máfia do etanol, ela ainda não esta contente e quer o dinheiro da Petrobrás. Paralelamente, nosso petróleo se tornou o principal produto de exportação do país em 2024, sem nenhum benefício ao brasileiro, sendo levado para ser queimado em outros países. E o governo ainda tem coragem de alegar uma preocupação ambiental, ao tentar justificar, sem nenhum argumento racional, estas danosas operações.
