For R$ 1 More Compensation, Petrobras Made a Purchase and Acquired the Remaining 50% Shares of Ibirité Thermal Power Plant
The Brazilian oil giant Petrobras made a purchase on June 1 and signed a contract to acquire the remaining 50% of Ibiritermo — owner of the Ibirité Power Plant, located in Minas Gerais with an installed capacity of 226 MW. The state-owned company announced yesterday (08/18), in a material fact to the market, that it has completed the acquisition of Edison S.p.A.’s (50%) stake in Ibiritermo S.A. and has completed the transfer of Ibirité Thermal Power Plant (UTE Ibirité) to the Company.
It is worth remembering that Petrobras already owned a 50% stake in Ibiritermo S.A. With the completion of the transaction, Petrobras now holds 100% of the shares of Ibiritermo S.A. and exclusive ownership of the Ibirité Power Plant, starting its operation as an asset integrated into the company’s thermal portfolio, without any associated corporate structure. Also upon completion, Petrobras begins the necessary measures for the closure of Ibiritermo S.A. through liquidation.

The plant is subject to an ECC contract – Energy Conversion Contract, signed on 06/21/2002, between Ibiritermo S.A. and Petrobras, with Edison S.p.A. as the intervening party.
Through the ECC, Petrobras has been the lessee of the plant since 06/21/2002, responsible for operation and maintenance, fuel and water supply, and payment of connection and usage charges for electricity distribution and transmission systems. In return, Petrobras is free to dispose of the energy generated by the plant.
