In Continuation of the Divestment Program, Petrobras Completes the Sale of 93.7% of Its Participation in Two Thermoelectric Plants in Amazonas
On Wednesday (11/10), Petrobras announced in a statement that it has finalized the sale of its entire 93.7% stake in Breitener Energética to Ceiba Energy. The Sale of Two Thermoelectric Plants in the State of Amazonas
After fulfilling all the preceding conditions, the operation was concluded with a payment of R$ 248 million to Petrobras, already accounting for the adjustments foreseen in the contract. In addition to this amount, there are R$ 53 million in contingent payments linked to Breitener’s future revenue from energy sales, totaling the operation’s value at R$ 301 million.
This market announcement is in accordance with Petrobras’ internal regulations and the special divestment regime for federal mixed economy companies, as provided in Decree 9,188/2017. This operation aligns with the portfolio management strategy and the improved capital allocation of the company, aiming at maximizing value and providing greater returns to society.

Breitener, the company in which Petrobras held shares, is a privately held corporation that owns, manages, and operates the companies Breitener Tambaqui and Breitener Jaraqui, specialized in the production and commercialization of electric energy. Both companies own the two thermoelectric plants Tambaqui and Jaraqui, located in Manaus, in the state of Amazonas, with installed capacities of 155.8 MW and 156.7 MW, respectively.
The company that purchased Petrobras’ assets is a firm that owns, develops, and operates power generation assets in Latin America. The company focuses, in particular, on providing renewable, low-carbon, and sustainable energy generation.

According to information released by the newspaper O Estado de São Paulo, Petrobras shut down the thermoelectric plant in Três Lagoas, in the State of Mato Grosso do Sul, due to a risk of catastrophic failure in the unit’s structure. Petrobras expressed the need to shut down the plant for important maintenance; however, the National System Operator (ONS) allegedly pressured the state-owned company to keep the thermoelectric plant operational.

Citing the need to avoid “catastrophic failure” in the unit’s structure, the state-owned company shut down the plant, as shown in communications exchanged between Petrobras, the National Electric Energy Agency (Aneel), and ONS obtained by ‘Estadão’.
