The Acquisition of Celse and 100% Stake in the Porto de Sergipe Thermoelectric Plant Represents a Step Forward for Eneva in the National Market. The Company Also Achieved Its First Major Infrastructure to Develop Its Gas Hub in Brazil.
The Brazilian electricity market is very active. This is because the company Eneva announced its largest acquisition, the purchase of Centrais Elétricas de Sergipe Participações (Celse) for a total of R$ 6.7 billion. The transaction secured 100% ownership of the Porto de Sergipe thermoelectric plant and brought new directions for the company’s gas hub in the national territory over the coming years.
Purchase of Celse Was the Largest Acquisition in Eneva’s History and Will Bring Strong Benefits to the National Energy Market
The company Eneva continues its fight for expansion in the oil, natural gas, and electricity markets, and has just made a significant transaction in the latter segment.
This concerns the purchase of Celse and its assets for a sum of R$ 6.7 billion, the largest ever invested by the company in an acquisition in the national market.

The German ship Bottsand splits its hull in two halves in the middle of the ocean to swallow spilled oil on the surface, separating the oil from the water inside a 790 cubic meter tank and then closing again. It is the only ship in the world factory-designed to split in half as part of normal operations, and the crew of six people who operate everything is civilian.

With almost 70 meters in width at the stern and a shape resembling a “giant slice of cheese,” the Ramform Titan tows up to 24 seismic cables to sweep the ocean floor in 3D and reveal oil reserves hidden beneath kilometers of sediment.

With a length of 225 meters and a capacity of 76 thousand tons, this ship “sinks” its own deck down to 28 meters deep to accommodate war destroyers, oil platforms, and giant radars floating above, and then emerges with everything intact on top like a colossal tray crossing oceans.
The transaction took place alongside New Fortress Energy (NFE) and Ebrasil Energia and secured Eneva 100% ownership of the Porto de Sergipe thermoelectric plant, one of the most important in the national landscape.
The plant is located on the coast of Sergipe and has a capacity of 1.6 GW, making it one of the largest gas plants in operation in Latin America, a significant asset for the company’s energy market portfolio.
Furthermore, the thermoelectric plant is also an important venture for ensuring energy security for the entire northeastern region of the country, as its production meets 15% of the demand from states in the area.
Another significant benefit of Eneva’s acquisition of Celse is the guarantee of the plant’s regularization by the end of 2044, eliminating legal concerns for the company over the coming decades.
“The acquisition of Celse further strengthens Eneva’s role in natural gas power generation in the Northeast region, which relies on this source to ensure electricity supply. With this move, we will have access to other sources of gas, such as imported LNG, and to the pipeline network serving the region, allowing us to even commercialize this gas,” commented Pedro Zinner, CEO of Eneva.
Company’s Transaction for Acquiring Celse Guarantees New Directions for Developing the Company’s Gas Energy Hub in Brazil
In addition to being an important asset for Eneva’s overall portfolio, Celse and, mainly, the Porto de Sergipe thermoelectric plant, will ensure significant growth for the company in developing the gas energy hub in the country.
In the transaction concerning the plants, Eneva now holds the rights to expand the Sergipe plant, with an additional pipeline of 3.2 GW projects.
This is yet another investment by the company in its quest for expansion in the national market, as during August, Eneva had already announced the closing of the acquisition of Termofortaleza in Ceará for R$ 531.6 million.
The last week was also of great importance for the growth plan, as the company won the 2nd Capacity Reserve Auction for the Northern Region and will participate in what will be the Azulão Complex.
Thus, the purchase of Celse becomes just another one of the company’s investments in its pursuit of leadership in the national energy market in the coming years.
