During last Thursday, (07/14), meeting minutes were published by the logistics and energy company Cosan, which pointed out some changes in the negotiations for the creation of the joint venture between Atlântico Participações and Bergnol Holding Limited. The venture will primarily focus on iron mining in Brazil and will contribute to the growth of mineral exploration in the national territory, being advanced by the company for new negotiations.
Recent Meeting Minutes Indicate Expanded Negotiations for the Creation of a Mining Joint Venture Between Atlântico Participações and Bergnol Holding Limited
Cosan recently approved an extension of the negotiations for the creation of a joint venture between its subsidiaries Atlântico Participações and Bergnol Holding Limited, which primarily focuses on iron mining. The data were disclosed in meeting minutes published by the company, that is, a document with the main information on the issues discussed during the company’s internal meeting.
Atlântico Participações and Bergnol Holding Limited had signed a memorandum of understanding during 2021 for the development of the joint venture, but were still waiting for Cosan’s movement. Since then, both companies have been seeking to advance the iron mining project in Brazil, and with Cosan’s extension of negotiations for the joint venture, the project may take new internal directions within the company.

Among the changes in the negotiations made by Cosan in the last meeting, according to the published minutes, the main one is the two-year extension of the deadline to finalize the negotiations for the formation of the joint venture. Thus, the change in negotiations determines that a final agreement now needs to be in effect by May 2023.
However, the document from Cosan did not disclose the official deadline for this finalization, only the month in which it should occur. Additionally, the meeting minutes for the joint venture between Atlântico Participações and Bergnol Holding Limited also did not clarify what the previous deadline was for the negotiations to be finalized.
Joint Venture Between Atlântico Participações and Bergnol Holding Limited May Bring New Directions for Cosan in the Mining Sector
Since announcing the project to create the joint venture between Atlântico Participações and Bergnol Holding Limited, Cosan has stated its intention to leverage its logistics experience to boost the venture. The company emphasized at the time: “Mining JV will be an integrated mining and logistics company, which will have, in addition to the Port, exploration rights for mining assets in three mineral projects located in the State of Pará, with significant potential iron ore reserves to be exported through the Port.”
The joint venture between Cosan’s companies is expected to begin operations in the mining sector as early as 2025, focusing on the Parauapebas (PA) area, in the Carajás region, connected to the Port by the Carajás railway. The company also emphasized that environmental commitment will be one of its main focuses in the creation of the company and that the operations will adopt ESG practices in iron mining.
And with the changes in the negotiations of the new company, Atlântico Participações and Bergnol Holding Limited will be able to accelerate the joint venture process and begin developing future mining projects in the Pará region, focusing on the area’s iron reserves.
