Transaction Completed in May 2025 Strengthens Âmbar Energia’s Operations in Thermal and Renewable Sources
Âmbar Energia, a company of the J&F group, completed on May 15, 2025 the acquisition of 12 thermoelectric plants located in Amazonas. This acquisition expands the company’s portfolio in the energy generation sector, including both thermal and renewable sources.
The plants, which were previously operated by Eletrobras, are now part of Âmbar’s diversified energy matrix, which already includes hydroelectric, solar, biomass, biogas, and mineral coal plants.
The total installed capacity of these 12 plants is 1,559 megawatts (MW), contributing to the security and diversity of the regional electric system.

Formal Transfer of Assets from Eletronorte
The transaction involves the full transfer of assets and rights held by Eletronorte, a subsidiary of Eletrobras, in the following thermoelectric plants:

- Rio Negro (under development)
- Aparecida
- Anamã
- Anori
- Codajás
- Caapiranga
- Cristiano Rocha
- Manauara
- Jaraqui
- Tambaqui
- Ponta Negra
According to the president of Âmbar Energia, Marcelo Zanatta, the acquisition represents the incorporation of significant assets to the portfolio, aligned with the strategy to maintain energy security.
Zanatta also emphasized the role of natural gas as an important source for Brazil’s energy transition, offering flexibility and reliability to the electrical system.
Chronology and Regulatory Progress of the Transaction
The agreement between Âmbar Energia and Eletrobras was initially announced in June 2024. From that point, the process of transferring the assets went through regulatory and operational stages.
The sale was finalized in May 2025, after obtaining the necessary approvals. Meanwhile, the sale of the Santa Cruz thermoelectric plant, a unit in Rio de Janeiro with a capacity of 500 MW, is still awaiting authorization from regulatory agencies, including the National Electric Energy Agency (Aneel).
Cade’s Approval for the Acquisition of Amazonas Energia
Regarding the distributor Amazonas Energia, the Administrative Council for Economic Defense (Cade) approved the sale to the J&F group on November 25, 2024.
This approval was conducted by Cade’s General Superintendence, as it was considered a less complex analysis. The general superintendent, Alexandre Barreto, issued the approval without the need for deliberation by the Cade Tribunal.
According to Cade’s technical opinion, the contract does not contain clauses that restrict competition in the energy market.
Judicial Decisions and Aneel’s Position
The signing of the contract for the transfer of control of the distributor Amazonas Energia occurred, however, in October 2024, which was outside the initially projected timeframe set by Aneel.
As a result, Aneel legally contested the validity of the signing. However, the Federal Court, through Judge Jaiza Maria Pinto Fraxe, recognized the legality of the act in a decision published in November 2024.
The judge determined that the signing occurred within the valid timeframe, according to the regulatory guidelines established in a provisional measure from the federal government in June 2024.
Thus, Âmbar Energia confirmed the process of transferring control of the distributor and began to operate fully in the distribution sector in Amazonas.
