Tesla CEO Prepares To Receive One Of The Largest Salary Packages In History As Company Moves Headquarters To Texas

Tesla shareholders, the electric vehicle manufacturer, approved a monumental salary package of US$ 56 billion for Elon Musk, the company’s CEO. This astronomical value has been a subject of discussion and controversy for years. The first approval of the package happened in 2018, conditioned to meeting extremely ambitious performance targets, both in terms of Tesla’s market value and specific financial objectives, according to Exame.

Structure Of The Salary Package

Since 2019, Elon Musk has not received a traditional annual salary from Tesla. Instead, he is rewarded with large amounts of stock upon reaching each of the established targets. For every US$ 50 billion increment in Tesla’s market capitalization, Musk can earn a significant amount of shares, potentially totaling up to US$ 56 billion if all targets are met.

Fernando Canutto, a partner at Godke Advogados and a specialist in corporate law, explains that this practice is common amongbillionaires in the US, where compensation is tied to company performance instead of a fixed monthly salary.

Growth Of Elon Musk’s Fortune

Between 2019 and 2022, Elon Musk began to reap the benefits of this compensation package. As Tesla reached its milestones, Musk acquired significant tranches of stock options, the value of which increased substantially due to the appreciation of the company’s shares. This resulted in a remarkable increase in his net worth, although he still did not receive a traditional salary.

In 2023, Elon Musk’s compensation structure remained the same, with most of his remuneration coming from stock options. International researcher Joaquim Santini states that Elon Musk’s net worth reached the impressive figure of US$ 220 billion, heavily influenced by the performance of Tesla’s shares.

Comparison With Other CEOs

Compared to other executives of large companies, Musk is far ahead. See how much some of the largest companies in the world pay their CEOs on average:

  • Tim Cook (Apple): US$ 3 million (potentially reaching US$ 49 million with bonuses, stocks, and other incentives).
  • Satya Nadella (Microsoft): US$ 2.5 million (potentially reaching US$ 48.5 million).
  • Jensen Huang (NVIDIA): US$ 1.25 million (potentially reaching US$ 21.3 million).
  • Sundar Pichai (Alphabet/Google): US$ 2 million (potentially reaching US$ 280.6 million, mostly due to a large stock package).
  • Mark Zuckerberg (Meta): Salary of US$ 1, with earnings from stocks totaling around 350 million.

Like Elon Musk, Zuckerberg adopts the practice of a symbolic salary, common among high-profile executives who own substantial amounts of stock in the companies they lead.

Legal Controversy And Move To Texas

The approval of Musk’s salary package was recently invalidated by a Delaware court. Judge Kathaleen McCormick determined that Tesla and Musk failed to prove that the billion-dollar payment would be fair, highlighting Musk’s influence over the company’s board of directors. According to McCormick, the board did not act independently, constituting a conflict of interest.

In light of the unfavorable court decision, Musk announced the relocation of Tesla’s headquarters to Texas, where he has more allies. The company confirmed the decision on its social media, thanking shareholders for their engagement and feedback in recent months.

The relocation of Tesla to Texas could bring strategic benefits to the company, which seeks to continue its expansion and innovation in the electric vehicle market. Musk’s new salary package, if approved by the courts, will further solidify his position as one of the highest-paid executives in the world.
