The acquisition price consists of a fixed portion and a variable portion (earn-out). The variable portion is contingent upon meeting performance goals and that the key executives of Logtech CNT remain in charge of the business.
If only the fixed portion of the amount is considered, the negotiation involves a multiple of about 0.20x GMV (Gross Merchandise Volume) in 2021.

Differentials That Will Occur in Via’s Logistics
According to Via, the acquisition of Logtech CNT has as its main strategic differential the offering of a unique package of logistics solutions for e-commerce operations.
Moreover, it is highly likely that the acquisition will provide a rapid and real improvement in service logistics to Via’s customers and partners in the marketplace, especially regarding the shopping experience and the speed at which products are delivered.
“The transaction brings dilution of logistics costs and contributes to: increase in NPS (Net Promoter Score) for Via; elevation of customer value over time (LTV); and reduction of the cost of acquiring new customers (CAC),” stated Via in a relevant fact.
In addition, the purchase of Logtech CNT will expand the service portfolio for current partners, generating new opportunities for cross-sell, regardless of current and potential new partners or industries, seeking complete solutions for e-commerce.
CNT’s Experience in Logistics
According to Via, Logtech CNT has extensive experience in the logistics sector, with a history of 11 years in fulfillment operations and four years in fullcommerce operations. Additionally, the company operates two distribution centers located in Barueri, in the state of São Paulo, and in Serra, in the state of Espírito Santo.
Logtech CNT’s logistics client portfolio includes a range of renowned brands in the country and worldwide, such as Café Pilão, Goodyear, Gradiente, CIMED, Jafra, Santa Lolla, and Kraft Heinz.
