CADE Aims to Investigate Details Regarding the Merger of Companies Seeking to Jointly Expand Offshore Renewable Energy Production

CADE (Administrative Council for Economic Defense) will evaluate the merger of efforts being made jointly by Keppel Offshore & Marine and Sembcorp Marine. The companies plan to create a combined company focused on offshore renewable energy, new energies, and clean solutions in the offshore and maritime sector.

Under the terms of the transaction, Temasek, the majority shareholder of Sembcorp, will become the largest shareholder of the renewable energy company generated by the combination of the mentioned companies, with a stake of approximately 33.5%. According to the documentation provided by the lawyers representing the companies, the effort aimed at producing offshore renewable energy will result in only a limited horizontal overlap in the market for renewable energy vessel construction and related services.

“This overlap does not raise any competitive concerns, as the combined market share of the Applicants is below 20%, the Applicants face strong competition in the market, including from foreign renewable energy companies, which are already part of the same group for the purposes of Brazilian competition defense laws, given Temasek’s current stake, which also invests in renewable energy, as it is the major shareholder of Sembcrop, in both Applicants and this will not change as a result of the Operation,” according to the documentation.
