Petrobras Informs That the Sale of NTS Is Aligned With Portfolio Optimization and Improved Capital Allocation of the Company
Petrobras announced yesterday (15) that it has begun a new phase in the process regarding the sale of its remaining 10 percent stake in Nova Transportadora do Sudeste S.A. (NTS), the state-owned company also communicated the resumption of the sale of its subsidiary Gaspetro.

“Petrobras, following the announcement made on March 31, 2020, has initiated a non-binding phase regarding the sale of its remaining 10% stake in Nova Transportadora do Sudeste S.A. (NTS),” the state-owned company informed.

According to Petrobras, in this phase, qualified potential buyers will receive a descriptive memorandum containing more detailed information about the company in question, as well as instructions regarding the divestment process, including guidance for the preparation and submission of non-binding proposals.
The main subsequent steps of the project will be communicated to the market in due course.
This announcement is in accordance with Petrobras’s divestment guidelines and the special divestment regime for assets by federal mixed-economy companies, as provided for in Decree 9.188/2017.
This operation is aligned with portfolio optimization and improved capital allocation of the company, aiming to maximize value for its shareholders, it concluded.
About NTS
NTS is a company operating in the natural gas transportation sector, currently holding long-term authorizations to operate and manage a pipeline system of approximately 2,000 km with a capacity to transport 158.2 MMm³/d of natural gas.
The NTS pipelines are located in the states of Rio de Janeiro, Minas Gerais, and São Paulo (accounting for 50% of natural gas consumption in Brazil) and connect to the Brazil-Bolivia pipeline, TAG’s transportation network, the LNG regasification terminal in Baía de Guanabara, and the natural gas processing plants produced in the Campos Basin and pre-salt regions.
The other partners in NTS are Nova Infraestrutura Fundo de Investimentos em Participações, an investment fund managed by Brookfield Brasil Asset Management Investimentos Ltda, with an 82.35% equity stake, and Itaúsa with a 7.65% equity stake.
