Guaíba Telecommunications Is Acquired in Million-Dollar Deal with Unifique. The Telecommunications Companies Will Be Part of the Same Network Starting in 2022
The Santa Catarina provider Unifique acquired the gaucha Guaíba Telecommunications in a transaction valued at R$ 60.93 million, according to a material fact released on Thursday night, December 23. Guaíba provides internet services and has 20,000 connections in the cities of Porto Alegre (south zone), Eldorado do Sul, Mariana Pimentel, Guaíba, Barra do Ribeiro, and Sertão Santana.

This negotiation is part of Unifique’s growth strategy in the gaucho market, as the company has a strong presence in Santa Catarina, along with smaller operations in Rio Grande do Sul and Paraná. The acquisition of Guaíba represents 40% of its base in the State.
Guaíba has 82% of its internet connections made via fiber optic networks, while the remaining 18% are via radio. The technology is similar to that of Unifique and requires a low volume of investments for updates.

In a statement issued by Unifique, it was highlighted that the acquired company, Guaíba Telecommunications, has a significant portfolio of corporate clients and revenue per connection at levels similar to those of Unifique.
In addition, the contract signed includes a non-compete clause for the selling parties for a period of five years, as the geographical area of the new network is adjacent to Unifique’s current operations in Rio Grande do Sul, allowing for the capture of relevant operational synergies.
Transaction Value Between Companies
The value of Guaíba Telecommunications (enterprise value) was set at R$ 60.93 million, of which R$ 13.44 million in net debt to be assumed by Unifique and R$ 47.49 million is the base acquisition price (equity value).
The portion of R$ 47.49 million will be paid with an initial amount of 20%, and the remaining 80% will be settled in monthly consecutive installments, divided into three tranches.
The amount used as a base for the acquisition is subject to certain adjustments arising from the transfer of about 20,000 connections, the assets involved in the transaction, and the indemnification obligations assumed.
Installments 1 to 12 will compose the first tranche, without correction. In the second tranche, installments 13 to 24 will be corrected by the CDI starting from the first anniversary of the contract. Finally, in the third tranche, installments 25 to 36 will be corrected by the CDI starting from the second anniversary of the contract.
The agreement also includes a clause aimed at adjusting the base price (earnout), conditioned on achieving targets defined based on revenue in the 12th and 24th months from the acquisition date. The settlement of the earnout will be diluted in the remaining installments of the purchase base price payment.
